1. ACCEPTANCE OF TERMS
- By creating an account, accessing, or using the FishIntel platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not create an account or use the Service. Creating an account or clicking "I Agree" constitutes your acceptance of these Terms and our Privacy Policy.

The Service is offered by No Quarter Labs LLC, a Florida limited liability company ("Company," "we," "us," or "our"), operating under the trade name FishIntel.

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age.
2. DESCRIPTION OF SERVICE
- FishIntel is an AI-powered fishing intelligence platform that provides analyzed fishing reports based on satellite data, NOAA data, and other publicly available oceanographic information. Reports include fishing probability assessments, zone analysis, and general fishing conditions. Paid subscribers may also ask questions about their water through the Ask FishIntel assistant on Telegram, subject to a daily question limit.

Available plans and purchases: (a) Free Account: your own fishing zone on any NOAA station in United States waters, one full report generated when you pick your zone, and one additional full report scheduled for a morning of your choice, with no daily delivery; (b) The FishIntel Plan (our single paid subscription, recorded in our systems as the “pro” tier): $29.00 per month or $279.00 per year, including a fresh report every morning delivered by email, two fishing zones, the AI satellite vision read, the Ask FishIntel assistant on Telegram (up to 100 questions per day), live field reports, species alerts, priority email delivery, and export of reports to JSON, CSV and GPX; (c) Extra Zones: additional fishing zones for subscribers on the FishIntel Plan at $15.00 per zone per month, billed as a separate recurring subscription; (d) Report Credits: pay-as-you-go unlocks of one day’s report for your zone, offered within the product to free accounts, at $5.00 for one report or $40.00 for ten, purchased as a one-time payment and not as a subscription; (e) Legacy Plans: subscribers on plans no longer offered for sale (Angler, Captain, Fleet) keep their plan at its existing price until they cancel or change plans.

We reserve the right to modify pricing, features, or plan availability at any time. Any price change to your existing subscription will not take effect until your next renewal period, and we will provide at least 30 days' notice.
3. LICENSE GRANT AND ACCEPTABLE USE
- Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.
- You may not: (a) scrape, crawl, or use automated means to access the Service or extract data; (b) resell, sublicense, redistribute, or commercially exploit any reports or data obtained through the Service; (c) share your account credentials with any third party; (d) use the Service to provide competing commercial fishing intelligence services; (e) remove, alter, or obscure any proprietary notices, including copyright and trademark notices; (f) use the Service in any manner that violates applicable law or regulation.
4. ACCOUNT REGISTRATION AND SECURITY
- You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to notify us immediately of any unauthorized use of your account.
5. SUBSCRIPTION, BILLING, AND AUTO-RENEWAL
- Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. By subscribing, you expressly acknowledge and agree that:

Your subscription will automatically renew at the then-current rate.

Your payment method on file will be charged at the beginning of each renewal period.

You may cancel your subscription at any time from your account dashboard at fishintel.ai.

Cancellation will take effect at the end of the current billing period — you will retain access until that date.

Auto-renewal consent: At the time of your initial subscription, you will be asked to provide separate, express consent to the auto-renewal terms described above. This consent is required before your subscription can be activated.

Renewal reminders: We will send you a reminder of the upcoming renewal, including the renewal date, the amount to be charged, and instructions for cancellation, at least 30 days before each annual renewal and at least 7 days before each monthly renewal.

Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us at support@fishintel.ai. Cancellation is effective at the end of the current billing period. We will not charge you for any subsequent billing period after cancellation. You may also cancel by any means that is at least as easy as the method you used to subscribe.
6. REFUND POLICY

Monthly subscriptions: No refunds for partial billing periods. Upon cancellation, you retain access through the end of your current billing period.

Annual subscriptions: No pro-rata refunds. The annual rate reflects a discount in exchange for the annual commitment.

Extra zones: No refunds for partial months. Cancellation of extra zones takes effect at the next billing cycle.

Report credits: Non-refundable. Credits expire 12 months after purchase. Zone availability for credit-purchased reports is not guaranteed; if a zone becomes permanently unavailable, unused credits for that zone may be applied to another available zone upon request.
7. WARRANTY DISCLAIMER
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY DATA, REPORTS, OR INFORMATION PROVIDED THROUGH THE SERVICE. THIS DISCLAIMER APPLIES EQUALLY TO ALL FEATURES OF THE SERVICE, INCLUDING RESPONSES AND ANSWERS PROVIDED BY THE ASK FISHINTEL ASSISTANT ON TELEGRAM OR ANY OTHER AI-POWERED CONVERSATIONAL FEATURE. ASSISTANT RESPONSES ARE GENERATED FROM THE SAME DATA SOURCES AS OUR REPORTS AND ARE SUBJECT TO THE SAME LIMITATIONS — THEY ARE NOT PROFESSIONAL ADVICE, NOT NAVIGATION GUIDANCE, AND NOT A SUBSTITUTE FOR YOUR OWN JUDGMENT.
8. MARINE SAFETY DISCLAIMER

IMPORTANT — PLEASE READ CAREFULLY. FISHINTEL REPORTS ARE PROVIDED FOR GENERAL INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. THEY ARE NOT INTENDED FOR USE IN NAVIGATION, ROUTE PLANNING, SAFETY-OF-LIFE DECISIONS, OR ANY OTHER PURPOSE WHERE INACCURATE OR INCOMPLETE INFORMATION COULD CREATE A RISK OF INJURY, DEATH, OR PROPERTY DAMAGE.

The data sources used to generate FishIntel reports — including satellite imagery, NOAA data, and other oceanographic data — can be stale, incomplete, interpolated, or incorrect. Ocean and weather conditions can change rapidly and without warning. Every report states the age of each data layer and will indicate when a data source is stale or when a backup source is in use, but we cannot guarantee the accuracy or currency of any data at the time you read a report.

YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS REGARDING WHETHER, WHEN, AND WHERE TO OPERATE A VESSEL OR ENGAGE IN ANY ON-WATER ACTIVITY. Always check official sources, including NOAA marine forecasts, Coast Guard notices, and local weather services, before going on the water. No FishIntel report is a substitute for competent seamanship, proper vessel preparation, current weather observation, and sound personal judgment.

By using the Service, you acknowledge that: (a) FishIntel is not a navigation service and does not provide navigational advice; (b) FishIntel is not a safety service and does not provide safety-of-life information; (c) reliance on any FishIntel report for navigation or safety decisions is at your own risk; (d) conditions on the water can differ materially from conditions described in any report.

The disclaimers in this Section 8 apply to every feature of the Service, including responses provided by the Ask FishIntel assistant on Telegram or any other AI-powered conversational feature. The assistant draws on the same satellite, NOAA, and oceanographic data sources described above. An answer from the assistant is not a substitute for a FishIntel report, is not navigational advice, and carries the same limitations and risks described in Sections 8.3 through 8.6. Do not rely on an assistant response for any decision about whether, when, or where to go on the water.
9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR (D) ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.
10. INDEMNIFICATION
- You agree to indemnify, defend, and hold harmless the Company and its officers, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any decisions you make based on information obtained through the Service, including but not limited to decisions related to on-water activities.
11. INTELLECTUAL PROPERTY

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, data compilations, software, and the compilation thereof — are the exclusive property of No Quarter Labs LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

The FISHINTEL name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of No Quarter Labs LLC. You may not use such marks without our prior written permission.

FishIntel reports contain modified Copernicus Marine Service information. The Copernicus Marine Service data is provided by the European Union's Earth observation program and is subject to the Copernicus Marine Service license terms.
12. BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Agreement to Arbitrate: You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

Class Action Waiver: YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. Disputes must be brought in an individual capacity only.

Arbitration Rules: Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Costs: The Company will pay all AAA filing, administration, and arbitrator fees for claims under $10,000, unless the arbitrator finds the claim is frivolous. For claims over $10,000, AAA Consumer Arbitration Rules govern the allocation of fees.

Opt-Out: You may opt out of this arbitration provision by sending written notice to No Quarter Labs LLC, FishIntel c/o Dirty Boat Charters, 77522 Overseas Highway, Islamorada, FL 33036, within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, you may pursue Disputes in court, but the class action waiver above still applies to the fullest extent permitted by law.

Survival: This arbitration provision survives termination of these Terms and your use of the Service.
13. MODIFICATIONS TO TERMS

We may modify these Terms at any time. For non-material changes, we will post the updated Terms on the Service with a new "Last Updated" date, and your continued use of the Service after such posting constitutes acceptance.

For material changes — including but not limited to changes to the arbitration provision, the liability limitation, the auto-renewal terms, or the scope of the license granted to you — we will provide notice by email and through a prominent notice on the Service at least 30 days before the changes take effect. Material changes will require your affirmative re-consent (by clicking "I Agree" or equivalent) before you may continue using the Service. If you do not consent, your account will be suspended at the effective date of the change, and you may request account deletion and, if applicable, a pro-rata refund of prepaid fees.
14. GOVERNING LAW
- These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Monroe County, Florida, or the Southern District of Florida.
15. TERMINATION

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. Upon termination: (a) your license to use the Service is immediately revoked; (b) unused report credits are forfeited (unless termination was initiated by the Company without cause, in which case unused credits will be refunded at their purchase price); (c) you must cease all use of the Service.

Sections 7, 8, 9, 10, 11, 12, 14, and this Section 15 survive termination.
